1. General provisions

1.1. Scandi Club bathhouse club, represented by Invest Hills LLC, EDRPOU code 42134641 (hereinafter the Provider), offers any individual or legal entity (hereinafter the Customer) the opportunity to enter into an agreement for bathing and related services (hereinafter the Agreement) on the terms of this Public Offer, the Visitor Rules and the established Service prices published on the Provider’s official website: https://www.scandi-club.com.

1.2. This Public Offer is an open-ended public proposal by the Provider pursuant to the Civil Code of Ukraine and is freely available on the Provider’s official website.

1.3. The Agreement is deemed concluded when the Customer pays the earnest money, which constitutes full and unconditional acceptance of this Public Offer.

1.4. For the purposes of this Public Offer, the Service means a specific bathing and/or related service or a package of services selected by the Customer and agreed with the Provider, with a specified date, time, duration, number of Guests and price.

1.5. For the purposes of this Public Offer, a Guest means an individual who actually receives the Service. The Customer may be a Guest or may transfer the right to receive the Service to another person or persons.

1.6. Related services are additional non-medical services provided by the Provider together with bathing services and intended to support the Guest’s comfort, rest, relaxation and general wellness experience, including but not limited to the services of a bathing master, aromatherapy, tea ceremonies, use of plunge pools and relaxation areas, rental of bathing accessories and other services included in the selected Service.

2. Subject of the Agreement

2.1. The Provider undertakes to provide the Service to the Guest, and the Customer undertakes to accept and pay for the Service under this Agreement.

2.2. The date, time, duration, number of Guests, content and price of the Service shall be agreed by the parties before it is provided.

3. Earnest money and payment procedure

3.1. To confirm a booking, the Customer pays earnest money in an amount determined by the Provider.

3.2. Earnest money is a monetary amount paid towards the Service price, confirming that the Agreement has been concluded and securing the Customer’s performance of their obligations under it.

3.3. Payment of earnest money means that the Customer has read and agrees to this Public Offer and the Scandi Club Visitor Rules.

3.4. The balance of the Service price is paid after the Service is provided or in another manner agreed by the parties.

3.5. The Service price is fixed for the originally agreed date and time. If the Customer requests rescheduling, the price in effect when the new Service arrangement is agreed shall apply, and the earnest money already paid shall be credited towards payment for the Service.

4. Cancellation or rescheduling of the Service

4.1. The Customer may reschedule the Service by notifying the Provider no later than 24 hours before the agreed start time.

4.2. Rescheduling does not terminate the Agreement. The full amount of earnest money is transferred to the newly agreed date and credited towards payment for the Service.

4.3. The parties shall agree a new date, and the Service must be used within 6 months of the originally agreed date. Further rescheduling is possible only with the Provider’s agreement.

4.4. At the Customer’s request and with the Provider’s agreement, instead of choosing a new date, the earnest money paid may be issued as a Scandi Club Gift Card for the corresponding amount.

4.5. If the Customer notifies the Provider no later than 24 hours in advance that they are cancelling the Service in full and do not wish either to reschedule or to receive a certificate, the issue of refunding the earnest money shall be resolved in accordance with the applicable laws of Ukraine.

4.6. If, less than 24 hours before the agreed time, the Customer cancels the Service, requests rescheduling, or the Guest does not arrive to receive the Service, these circumstances constitute non-performance of the Customer’s obligations. The earnest money shall remain with the Provider and shall not be credited towards another date, unless otherwise agreed by the Provider or required by law.

4.7. The time of notification of rescheduling or cancellation is the moment the Provider receives the relevant message through the communication channel used by the parties when booking.

5. Transfer of the right to receive the Service

5.1. The Customer may transfer the right to receive the Service to another person or persons.

5.2. When transferring the right to receive the Service, the Customer shall independently provide that person with the necessary information about the Service, including its date and time, number of Guests and any other information needed to receive it. Providing this information confirms on the Customer’s part that the relevant person is authorised to receive the Service.

5.3. Transferring the right to receive the Service does not change the terms of the Agreement. The Customer remains responsible for the accuracy of information provided to the Provider when concluding the Agreement, and for transmitting and ensuring the proper use of information about the Service.

5.4. A person who actually receives the Service under a transferred right is deemed a Guest and agrees to the provisions of this Public Offer concerning receipt of the Service and presence on the bathhouse club premises.

6. Obligations of the parties

6.1. The Provider undertakes to:

  • provide the Service at the agreed time and to an appropriate standard;
  • ensure compliance with sanitary standards and safety rules;
  • provide the Guest with the information necessary to receive the Service.

6.2. The Customer and/or Guest undertake to:

  • arrive at the agreed time;
  • follow the bathhouse club rules and staff recommendations;
  • inform the Provider’s staff of circumstances that may affect the safe receipt of the Service;
  • independently assess their health, physical capabilities and ability to use the Service;
  • notify the Provider of cancellation or rescheduling in good time;
  • pay for the Service in full and within the specified time;
  • treat the Provider’s property with care.

7. Service times and late arrival

7.1. The Service is provided on the date and at the time agreed by the parties.

7.2. If the Guest arrives late, the Service actually begins after their arrival, but the agreed end time remains unchanged unless separately agreed otherwise by the Provider.

7.3. Late arrival does not automatically entitle the Guest to an extension of the agreed Service duration or a reduction in its price.

7.4. If the Guest’s late arrival prevents proper provision of the Service within the agreed time or affects the Provider’s ability to provide other Services, the Provider may shorten the Service duration.

7.5. If the start of the Service is delayed through the Provider’s fault, the parties shall agree an extension, rescheduling of part of the Service or another way to compensate for the lost time, depending on the circumstances and the Provider’s capabilities.

8. Changes to the Service

8.1. The Customer or Guest may ask the Provider to change the content of the Service before or during its provision.

8.2. The content of the Service may be changed subject to the Provider’s availability and agreement on any additional charges.

8.3. If the Guest declines individual elements of an already agreed Service after it has begun, this does not automatically entitle them to a reduction in price unless the parties agree otherwise.

9. Liability of the parties

9.1. The parties are liable for non-performance or improper performance of their obligations in accordance with the applicable laws of Ukraine.

9.2. Before receiving the Service, the Guest confirms that they are familiar with its nature.

9.3. The Guest shall independently assess their ability to use bathing services and inform staff of any known circumstances that may affect the safe receipt of the Service.

9.4. The Provider is not liable for adverse health consequences arising from the Guest’s individual physiological characteristics, hidden or undisclosed health circumstances, or failure to follow staff recommendations and safety rules.

9.5. The Guest is liable for damage to or destruction of the Provider’s property if caused by their fault or failure to follow the rules for using that property.

9.6. If property is damaged or destroyed, the Provider may seek compensation for the actual losses incurred from the Customer and/or the person at fault, in accordance with the procedure established by the laws of Ukraine.

9.7. The Provider may refuse or discontinue the Service without refunding the earnest money if the Guest breaches safety rules, is in a condition that poses a risk to themselves, other guests or staff, behaves aggressively, intentionally damages property or otherwise materially breaches the rules for being on the bathhouse club premises.

9.8. Receipt of the Service is confirmed by the actual arrival at the bathhouse club of the Guest or Guests authorised by the Customer and the actual provision of the Service.

10. Circumstances preventing provision of the Service

10.1. If the Service cannot be provided for reasons beyond the Provider’s control, including but not limited to the absence or emergency interruption of electricity, water or heating, utility network failures, actions of public authorities or other circumstances preventing provision of the Service, the Provider shall not be liable for such inability to provide the Service in the cases and to the extent provided by the applicable laws of Ukraine.

10.2. In such a case, by agreement between the parties:

  • another date and/or time for the Service is offered; or
  • the earnest money is refunded in full.

11. Personal data and dispute resolution

11.1. The Customer and/or Guest consent to the processing of their personal data to the extent and for the purposes necessary to perform this Agreement and provide the Service.

11.2. All disputes shall be resolved through negotiation or, if no agreement is reached, in accordance with the procedure established by the laws of Ukraine.
